Acceptance of Terms

By accessing or using Submerse ("Service"), provided by Godspeed Systems LLC ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and Godspeed Systems LLC. Your continued use of the Service after any changes to these Terms constitutes acceptance of those changes.

Description of Service

Submerse is a bookmarking and content organization service that allows users to:

• Save and organize web bookmarks
• Create collections (pools) to categorize bookmarks
• Collaborate with others through shared workspaces
• Access content across multiple devices
• Utilize AI-powered features for content summarization

The Service includes a web application accessible at https://submerse.it and a Chrome Extension that requires the web application to function.

Eligibility

You must be at least 13 years of age to use the Service. If you are under 18, you represent that you have your parent or guardian's permission to use the Service.

By using the Service, you represent and warrant that you have the legal capacity to enter into these Terms.

User Accounts

Account Creation

To use the Service, you must create an account by providing:

• A valid email address
• Your name
• A secure password (managed through our authentication provider)

Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach

Account Accuracy

You agree to provide accurate, current, and complete information during registration and to update such information as necessary to keep it accurate.

User Content and Intellectual Property

Your Content

You retain all ownership rights to the content you submit to the Service, including bookmarks, notes, and other materials ("User Content").

By submitting User Content, you grant us a limited, non-exclusive, royalty-free license to store, process, and display your content solely for the purpose of providing the Service to you.

Content Responsibility

You are solely responsible for your User Content and the consequences of posting it. You represent that:

• You own or have the necessary rights to your User Content
• Your User Content does not violate these Terms or any applicable law
• Your User Content does not infringe on the rights of any third party

Our Intellectual Property

The Service, including its design, features, functionality, and all related intellectual property, is owned by Godspeed Systems LLC and is protected by copyright, trademark, and other laws.

You may not copy, modify, distribute, sell, or lease any part of our Service without our prior written permission.

Prohibited Activities

You agree not to engage in any of the following activities:

Illegal or Harmful Conduct

• Using the Service for any illegal purpose or in violation of any laws
• Posting content that is harmful, threatening, abusive, harassing, defamatory, hateful, pornographic, lewd, violent, or otherwise harmful to minors.
• Impersonating any person or entity or falsely representing your affiliation with any person or entity

Security Violations

• Attempting to gain unauthorized access to the Service or other users' accounts
• Interfering with or disrupting the Service or servers
• Introducing viruses, malware, or other malicious code
• Attempting to bypass any security measures

Service Abuse

• Creating multiple accounts to abuse features or promotions
• Using the Service in a way that could overburden or impair its functionality
• Reselling or redistributing the Service without authorization

Intellectual Property Violations

• Posting content that infringes on the intellectual property rights of others
• Using the Service to store or distribute pirated content

Sharing and Collaboration

The Service allows you to share bookmarks and collections (called "pools") with other users. When you share content:

• You control what content is shared and with whom
• Shared content may be viewed and accessed by the users you specify
• You are responsible for managing access permissions
• You should only share content that you have the right to share

We are not responsible for how other users use the content you choose to share with them.

Subscription and Payment

Pricing and Subscription Tiers

The Service may offer a discounted trial period and paid subscription tiers. Paid features, pricing, and billing terms will be clearly communicated before you subscribe.

Billing and Renewal

If you subscribe to a paid tier:

• Subscriptions automatically renew unless cancelled before the renewal date
• You authorize us to charge your payment method for recurring subscription fees
• Price changes will be communicated at least 30 days in advance

Refunds

Refunds are simple: contact us at help@submerse.it if you are disappointed with the service or have concerns about billing or charges.

Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period.

Service Availability and Modifications

Availability

We strive to provide reliable and uninterrupted service, but we do not guarantee that the Service will be available at all times. The Service may be unavailable due to:

• Scheduled maintenance
• Technical issues or outages
• Circumstances beyond our control

Modifications to the Service

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will make reasonable efforts to notify users of significant changes.

Beta Features

We may offer beta or experimental features. These features are provided "as is" and may be changed or removed without notice.

Termination

Termination by You

You may terminate your account at any time by deleting it through your account settings or by contacting us at help@submerse.it.

Termination by Us

We may suspend or terminate your account if:

• You violate these Terms
• Your use of the Service poses a security risk or legal liability
• Your account remains inactive for an extended period
• We are required to do so by law

Effect of Termination

Upon termination:

• Your access to the Service will cease immediately
• Your User Content may be deleted in accordance with our data retention policies
• You remain responsible for any outstanding fees or obligations
• Sections of these Terms that by their nature should survive termination will continue to apply

Disclaimers

To the fullest extent permitted by law, we disclaim all warranties, including:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties regarding the accuracy, reliability, or availability of the Service
• Warranties that the Service will be uninterrupted, secure, or error-free
• Warranties regarding the results that may be obtained from using the Service

You use the Service at your own risk. We do not guarantee that the Service will meet your requirements or that any content stored through the Service will remain secure or uncorrupted.

Limitation of Liability

This includes, but is not limited to, damages for:

• Loss of profits, data, or business opportunities
• Service interruptions or data loss
• Costs of obtaining substitute services
• Unauthorized access to your account or data

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Godspeed Systems LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any rights of another person or entity

Third-Party Services and Links

Beyond your user content, the Service may contain links to third-party websites or integrate with third-party services. We are not responsible for:

• The content, accuracy, or practices of third-party sites
• Any damage or loss caused by your use of third-party services
• The privacy practices of third-party sites (see our Privacy Policy for details on third-party services we use)

Your use of third-party services is at your own risk and subject to their terms and policies.

Dispute Resolution

Informal Resolution

If you have a dispute with us, please contact us at help@submerse.it and we will make every effort to resolve it informally.

Governing Law

These Terms are governed by the laws of the State of Oregon, United States, without regard to its conflict of law provisions.

Venue

Any legal action arising from or related to these Terms or the Service must be brought in the state or federal courts located in Oregon, and you consent to the exclusive jurisdiction of those courts.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Godspeed Systems LLC regarding the Service.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

Force Majeure

We are not liable for any failure to perform our obligations due to circumstances beyond our reasonable control.

Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices, legal requirements, or for other operational reasons.

When we make changes:

• We will update the "Last Updated" date at the top of this page
• For material changes, we will provide notice through the Service or via email
• Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms
